AgenticSP Terms of Service

1. The Service

AgenticSP provides software for moving companies to manage lead intake, moving estimations, pricing agents, email templates, email automation, workflow configuration, dashboard metrics, support requests, and related customer relationship workflows.

The Service may include:

  • AI-assisted lead extraction from inbound emails.
  • Moving estimation and charge calculation tools.
  • Configurable pricing agents, pricing rules, base points, move-size weights, surcharges, and fixed fees.
  • Email template creation, template assets, and workflow automation.
  • Google and Microsoft mailbox connection through Nylas.
  • Outbound quote, follow-up, scheduling, reply, delivery, bounce, unsubscribe, open, and click tracking features where enabled.
  • Stripe-powered checkout, subscription, billing, and add-on credit workflows.
  • Admin, support, reliability, observability, and analytics tooling.

2. Accounts and Authorized Users

You must provide accurate account, company, billing, and contact information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of credentials, sessions, API keys, connected inboxes, and access devices.

You may allow only authorized employees, contractors, or representatives to use your AgenticSP account. You are responsible for their actions and for ensuring they comply with these Terms.

You must promptly notify us at support@agenticsp.ai if you suspect unauthorized access, misuse, credential compromise, or a security incident involving the Service.

3. Customer Data and Ownership

"Customer Data" means information, content, files, prompts, lead sources, lead records, customer records, email content, pricing configuration, templates, assets, workflows, and other materials submitted to or generated in the Service for your company account.

As between you and AgenticSP, you retain ownership of your Customer Data. You grant AgenticSP a limited right to host, process, transmit, display, copy, secure, analyze, and otherwise use Customer Data as needed to provide, maintain, secure, support, and improve the Service; comply with law; prevent abuse; and fulfill actions you direct.

You are responsible for the accuracy, legality, and quality of Customer Data and for obtaining all rights, permissions, notices, and consents needed to process it through AgenticSP.

4. Lead-Source Confidentiality

Lead-source information is commercially sensitive. AgenticSP treats lead source identities, sender addresses, saved source messages, labels, snippets, full source email bodies, and extracted lead-source knowledge as company-confidential Customer Data.

AgenticSP will not sell your lead-source information. AgenticSP will not share your lead-source information with other moving companies. AgenticSP will not use your lead-source knowledge to configure, train, improve, or advantage another customer's account.

You acknowledge that authorized users within your own company account may be able to view or manage company lead sources depending on their permissions and product configuration.

5. Connected Email Accounts

You may connect Google or Microsoft email accounts to AgenticSP through Nylas so the Service can use email.read_only and email.send style functionality to read relevant inbound messages, save lead sources, process lead emails, send outbound quote and follow-up emails, schedule sends, and track delivery or engagement events where enabled.

You represent and warrant that:

  • You have authority to connect each email account to AgenticSP.
  • Your use of connected email accounts complies with your organization's policies and applicable law.
  • Your outbound messages, templates, and workflows comply with anti-spam, marketing, consumer protection, privacy, and email provider requirements.
  • You will honor unsubscribe, opt-out, bounce, suppression, and recipient preference obligations.
  • You will not use AgenticSP to send unlawful, deceptive, harassing, abusive, unsolicited, or high-risk email campaigns.

You may disconnect a mailbox through AgenticSP, and you may also revoke access through Google, Microsoft, or related account controls. Disconnecting a mailbox may disable or pause email automation for affected agents or workflows.

6. Google and Microsoft Compliance

For Google-connected accounts, AgenticSP's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

AgenticSP uses Google and Microsoft mailbox data only to provide customer-facing email automation, lead-source, lead extraction, estimation, outbound email, scheduling, tracking, support, security, and compliance features. AgenticSP does not sell connected mailbox data, use it for advertising, or use it to train generalized or foundation AI models.

You agree not to use AgenticSP in a way that violates Google, Microsoft, Nylas, or other third-party provider policies.

7. AI-Assisted Features

AgenticSP includes AI-assisted features that may extract lead data, classify emails, suggest pricing configuration, assist with support issues, generate template edits, or generate images and other content.

AI outputs may be inaccurate, incomplete, delayed, or unsuitable for a particular customer, route, move size, regulation, or business requirement. You are responsible for reviewing and approving AI outputs, pricing calculations, lead records, customer communications, and estimates before relying on them or sending them to customers.

AgenticSP does not provide legal, tax, insurance, financial, or professional moving-industry compliance advice. You remain responsible for your own pricing, contracts, customer communications, and services.

8. Acceptable Use

You may not:

  • Use the Service for unlawful, harmful, deceptive, infringing, abusive, or fraudulent purposes.
  • Access, process, or send data you do not have rights or authority to use.
  • Violate privacy, consumer protection, telemarketing, anti-spam, export, sanctions, or email provider rules.
  • Send spam, phishing, malware, scams, unlawful marketing, deceptive quotes, or abusive communications.
  • Attempt to bypass authentication, authorization, rate limits, billing limits, security controls, or technical restrictions.
  • Interfere with or disrupt the Service or third-party infrastructure.
  • Reverse engineer, scrape, crawl, or copy the Service except as permitted by law.
  • Use AgenticSP to build a competing service through unauthorized copying, benchmarking, scraping, or misuse of confidential Service information.
  • Upload malicious code or use the Service to compromise any system.
  • Misrepresent your identity, company, services, pricing, or authorization to act.

We may suspend or restrict access if we believe your use violates these Terms, creates risk, causes harm, threatens Service integrity, violates third-party provider rules, or may expose AgenticSP or others to liability.

9. Billing, Subscriptions, and Stripe

Paid plans, subscriptions, trials, add-on credits, invoices, and payment methods are handled through Stripe. By starting checkout, subscribing, purchasing add-on credits, or continuing to use paid features, you authorize AgenticSP and Stripe to charge applicable fees, taxes, and recurring amounts according to the plan or purchase you select.

Payment processing is provided by Stripe and is subject to Stripe's terms and policies, including the Stripe Services Agreement and Stripe Privacy Policy. You agree to provide accurate and complete billing information and authorize AgenticSP to share billing, account, transaction, subscription, and customer information with Stripe as needed for payment processing, fraud prevention, compliance, billing support, and subscription management.

Fees are non-refundable except where required by law or expressly stated in a written agreement. Subscription changes, cancellations, renewals, trials, failed payments, credits, and access limits may be handled through Stripe, AgenticSP billing settings, or support. Additional refund, cancellation, add-on credit, and billing dispute terms are described in the AgenticSP Refund and Cancellation Policy.

Add-on automation credits, if offered, are consumable account credits and may be subject to plan limits, expiration, non-refundability, and usage rules shown in the Service or agreed in writing.

10. Cancellation, Suspension, and Termination

You may cancel your subscription through available billing controls or by contacting support. Cancellation may take effect at the end of the current billing period unless otherwise stated. After cancellation, failed payment, subscription expiration, or termination, AgenticSP may limit, pause, deactivate, or remove access to paid features, agents, email automation, connected mailbox grants, and related workflows.

We may suspend or terminate access immediately if you violate these Terms, fail to pay amounts due, create legal or security risk, misuse connected email accounts, violate third-party provider policies, or use the Service in a way that may harm AgenticSP, other customers, recipients, providers, or the public.

Upon termination, we will handle Customer Data according to the Privacy Policy, including the target deletion or de-identification timeline and exceptions described there.

11. Third-Party Services

AgenticSP integrates with third-party services, including Supabase, Nylas, Google, Microsoft, Stripe, OpenAI, OpenRouter-supported providers, Google Maps, Sentry, PostHog, hosting providers, and infrastructure providers.

Third-party services are not controlled by AgenticSP. Their services may be subject to separate terms, privacy policies, rate limits, outages, verification requirements, security requirements, data processing practices, and fees. AgenticSP is not responsible for third-party services except as required by applicable law or expressly stated in a written agreement.

12. Security

AgenticSP uses reasonable technical and organizational safeguards designed to protect the Service and Customer Data. You are responsible for account security, user permissions, device security, mailbox authorization, and secure handling of exported data.

You must not disclose credentials, abuse API keys, share accounts outside authorized users, or attempt to access another company's data. You must promptly report suspected vulnerabilities or security incidents to support@agenticsp.ai.

13. Confidentiality

Each party may receive confidential information from the other. Confidential information includes non-public business, technical, product, pricing, security, customer, lead-source, and operational information that should reasonably be understood as confidential.

The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Confidentiality obligations do not apply to information that is public without breach, already known without restriction, independently developed, rightfully received from another source, or required to be disclosed by law.

14. Service Changes and Availability

We may modify, improve, limit, suspend, discontinue, or replace features from time to time. We try to maintain reliable service, but we do not guarantee uninterrupted, error-free, or always-available operation. Some features depend on third-party APIs, email providers, model providers, payment processors, maps services, queues, and hosting infrastructure.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTICSP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

AGENTICSP DOES NOT WARRANT THAT ESTIMATIONS, AI OUTPUTS, LEAD EXTRACTIONS, EMAIL CLASSIFICATIONS, PRICING CALCULATIONS, ROUTE DISTANCES, SURCHARGES, TEMPLATES, OR CUSTOMER COMMUNICATIONS WILL BE ACCURATE, COMPLETE, COMPLIANT, OR SUITABLE FOR YOUR BUSINESS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTICSP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOSS OF GOODWILL; LOSS OF DATA; SERVICE INTERRUPTION; EMAIL PROVIDER ACTIONS; PAYMENT PROVIDER ACTIONS; OR COSTS OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTICSP'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO AGENTICSP FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR USD $100 IF CUSTOMER HAS NOT PAID AGENTICSP.

Some jurisdictions do not allow certain limitations, so some limitations may not apply.

17. Indemnification

You will defend, indemnify, and hold harmless AgenticSP from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your Customer Data.
  • Your use of the Service.
  • Your leads, estimates, quotes, moving services, pricing, contracts, or customer communications.
  • Your connected email accounts, outbound messages, templates, or workflows.
  • Your violation of these Terms, law, third-party rights, or third-party provider policies.
  • Your failure to obtain required permissions, consents, notices, or authorizations.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another reasonable method. Updated Terms are effective when posted unless a later effective date is stated. Continued use of the Service after the effective date means you accept the updated Terms.
